Jellypad Terms of Service

1. Introduction

Welcome to Jellypad, a platform where authors can create and sell stories and manage subscriptions. By accessing or using Jellypad, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

Jellypad is owned and operated by Scrubscript LLC, a company registered in the State of Georgia, United States ("we," "us," or "our").

2. Definitions

  • "Platform" refers to the Jellypad web application and all related services.
  • "User" refers to any individual who accesses or uses the Platform.
  • "Author" refers to a User who creates and publishes content on the Platform.
  • "Subscriber" refers to a User who purchases access to content or subscribes to an Author's subscription offering.
  • "Content" refers to all stories, chapters, and other materials uploaded to the Platform.

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years of age to create an account on Jellypad. Users under 18 may access age-appropriate content with parental consent but may not create accounts or make purchases.

3.2 Account Registration

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Author Terms

4.1 Content Ownership

Authors retain ownership of their Content but grant Jellypad a non-exclusive, worldwide, royalty-free license to host, display, and distribute the Content on the Platform.

4.2 Content Restrictions

Authors agree not to upload Content that:

  • Features minors in sexual or suggestive contexts
  • Promotes illegal activities
  • Infringes on intellectual property rights
  • Contains malware or harmful code
  • Violates any applicable laws or regulations

While mature and sexual content is permitted, it must be appropriately marked as such and will be subject to age verification measures.

4.3 Pricing and Payments

Authors may set their own prices for individual stories, chapters, and subscription offerings. Jellypad will collect a 1% platform fee on all transactions, in addition to the payment processor's fee of 2.9% plus $0.30 per transaction.

4.4 Subscription Management

Authors are responsible for accurately configuring which stories and chapters are included in their subscription offerings and the dates on which they are available to Subscribers.

5. Subscriber Terms

5.1 Purchases

All purchases are final, and no refunds will be issued except as required by applicable law. By making a purchase, you acknowledge that you understand and accept this no-refund policy.

5.2 Payment Processing

All payments are processed through Stripe. Jellypad does not store credit card information. By making a purchase, you agree to comply with Stripe's terms and conditions.

5.3 Subscription Access

Access to subscription content is dependent on the configuration set by the Author and may change at the Author's discretion. Jellypad is not responsible for changes made by Authors to their subscription offerings.

6. Content Guidelines

6.1 Mature Content

Mature content is allowed on the Platform but must be clearly marked as such. Users attempting to access mature content will be required to complete an age verification step.

6.2 Prohibited Content

The following types of content are strictly prohibited:

  • Content involving minors in sexual or suggestive contexts
  • Content promoting illegal activities
  • Content that violates copyright or other intellectual property rights
  • Content intended to deceive or defraud Users
  • Content that harasses, bullies, or threatens others

7. User Conduct

Users agree not to:

  • Impersonate others or misrepresent their affiliation with any person or entity
  • Harass, threaten, or intimidate other Users
  • Attempt to gain unauthorized access to the Platform or other Users' accounts
  • Use the Platform for any illegal or unauthorized purpose
  • Interfere with the proper operation of the Platform

8. Privacy and Data Security

8.1 Data Collection and Use

We collect and process your personal information in accordance with our Privacy Policy, which is incorporated by reference into these Terms.

8.2 Data Security

User data is stored in an encrypted production database with limited access. While we implement reasonable security measures, we cannot guarantee absolute security. You acknowledge that you provide your personal information at your own risk.

9. Termination and Suspension

9.1 Termination by Users

You may terminate your account at any time through the Platform settings.

9.2 Termination by Jellypad

We reserve the right to suspend or terminate your account and access to the Platform at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other Users, us, or third parties, or for any other reason.

9.3 Effects of Termination

Upon termination:

  • Authors will no longer be able to publish new Content
  • Authors' existing Content may be removed from the Platform
  • Subscribers will lose access to purchased Content
  • Further purchases of the terminated Author's Content will not be possible

10. Intellectual Property

10.1 Platform Content

The Platform, including its design, features, and functionality, is owned by Scrubscript LLC and is protected by copyright, trademark, and other intellectual property laws.

10.2 User Content

Users retain ownership of their Content but grant Jellypad the rights necessary to operate the Platform as described in these Terms.

11. Disclaimers and Limitations of Liability

11.1 Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 Limitation of Liability

IN NO EVENT SHALL SCRUBSCRIPT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

12.2 Dispute Process

If you have a dispute with Jellypad, please contact us at disputes@jellypad.app. We will attempt to resolve the dispute informally. If we cannot resolve the dispute informally, any legal action must be brought in the courts of Georgia.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and Scrubscript LLC regarding the Platform and supersede all prior agreements and understandings, whether written or oral.
